My mom is turning 40 years old and is 240 pounds. I am starting to get worried about her health when she is older because right now when she goes for a walk she runs out of breath the first five minutes of normal walking. I really need to help her the more she eats the less she cares she thinks about diets but doesn't stick with them by the end of the day. I realllly need your help :( and please do not put mean comments because this is my mom and i really care about her.

I would suggest having a talk with your mom and explaining to her how much you love her and want her to be healthier. You can stress to her that you want her to be around for a long time and how important it is to get the weight off. Good Luck:)
You can't fix other people. And, you know your mom better than we do so you're in a much better position to know how you might be able to leverage some kind of change. The only reason I'm bothering with your question is because of what you said about your mom running out of breath. If she really can't walk more than five minutes without feeling breathless, she should have a thorough physical exam. That sort of symptom is common to poor cardio-vascular efficiency and she could be a candidate for a heart attack...especially is she smokes now or has in the past.
When my exwife was 5'3", 200 pounds, and 40 years old, she could walk long and fast and she had a family history of heart problems. So, you might want to ask your mom when her last physical was, what her weight was then, and if she's ever had an echocardiogram or EKG stress test. That could be a more urgent problem than weight loss.

Maybe you should go through the diet with your mom (within reason). Start making healthy dinners. Have her go on a walk with you. Slowly start to replace the junk food with healthier options so she can't reach for another cookie because it's not there.
