No downsides, you have to wait 60 days from the time the account was opened to be eligible to upgrade from personal to premier account. No funding or withdrawal fees. The only difference is that you can apply for the PayPal debit card, which can be used to spend whatever balance you have in your PayPal account.
There's no downside. Once you hit a certain number of transactions and dollar amount received your account will be automatically converted from a personal to a premier account. However, you are allowed to have one premier or business paypal account as well as one personal one.
