Your PC is more than capable of running vista Ultimate. I am running Ulitmate on a similar setup and it runs very smoothly. The file that you downloaded from Microsoft includes the product key already, so you shouldn't have to enter anything. It will ask for the original Vista disc that came with your computer, but you shouldn't have to burn a new disc. Your files will remain in tact.
Welcome to the Vista Ultimate Nightmare. Yes, even tho your computer more than meets the specs, you have burned a lot of money and now you get to deal with the frustrations you bought with your hard earned money.
2.. No, it wont run smooth and fast. You will have to reboot everytime you sneeze, and 114,000 virii will be looking for you. You will have compatability issues with printers, and probably even some of your hardware and, of course, your favorite sofwatere wont work with Vista.
3. Yes, you will need to reenter the key and then put up with Microsoft Activation Hassel (MAH) each time you reload the Operating system, even if it is a repair.
4. You probably wont be able to burn DVD's unless you throw still more money at the problem
5. There is no guarntee you will have any of your files, unless you went to the trouble of backing your system up previously, and even then, there is no gurarntee of file compatability, even if everything was Microsoft before.
Next time, get smart and get open source software and dont put up with their krap. www.kubuntu.org will get you on the right path.
