yeah sure, you will easily meet the minimum requirements for it. You might wanna get another gig of ram because they are dirt cheap and the levels in gta4 are big. You really don't have to though.

You've got a pretty solid video card already, i wouldnt say you have to upgrade it unless you absolutely have to have the highest settings.

i dont know the average spec to run that game ,maybe you can but if i were you i would get an 8800gt to be sure.
